PREAMBLE

These General Terms and Conditions of Sale (“Terms”) are established by KALLYSTE (hereinafter referred to as “KALLYSTE”).

These Terms apply exclusively to purchases made by a “Client” (defined as a private individual or legal entity acting as a final consumer for non-professional purposes) directly from KALLYSTE, expressly excluding commercial use, resale, and distribution.

KALLYSTE instruments are designed and handcrafted in France. Their engineering standards and build quality—both electronic and mechanical—place them in the category of state-of-the-art craftsmanship (summum de l’art). Every stage of manufacturing is governed by continuous quality self-checks, and each finished unit undergoes rigorous measurement and testing prior to operation.

KALLYSTE instruments are engineered strictly for private domestic use within a defined audio system architecture, paired with compatible equipment compliant with their connectors, electrical and electronic ratings, and the operating manual.

I. TERMS OF SALE, ORDERS, AND PAYMENT

1.1 Conditions of Sale

The KALLYSTE website serves purely as a showcase and does not offer direct online purchasing or distant-selling channels. Every direct purchase between the Client and KALLYSTE is built upon direct advisory dialogue, conducted either in person or via direct communication channels.

Whenever distance permits, the Client is invited to our premises for dedicated listening sessions, or an in-home demonstration is arranged. When travel is impractical due to distance, consultations are conducted through detailed telephone or remote exchanges. Purchases completed under these conditions do not constitute distance selling or mail-order transactions.

Purchases are contracted directly with KALLYSTE made-to-order, with the exception of units purchased during live demonstrations.

If KALLYSTE products are purchased through an authorized dealer or third-party professional, these Terms do not apply; the transaction is governed solely by the terms and conditions of that professional.

1.2 Order Placement

An order is definitive and binding once:

  • The Client has reviewed and accepted these Terms by checking the dedicated box;

  • The Client has signed and dated the purchase order;

  • The Client has confirmed the order through a financial commitment in the form of a deposit.

The required deposit is a minimum of 50% of the total order value, whether the order comprises one or multiple instruments. The remaining balance is payable upon delivery. This deposit is strictly non-refundable should the Client cancel the order.

Any request for order modification, whether partial or full, remains at KALLYSTE’s sole discretion and can only be accommodated if current manufacturing progress permits. Should KALLYSTE approve an amendment, a revised purchase order will be issued for the Client’s signature.

1.3 Pricing

Prices displayed on the KALLYSTE website are quoted in Euros (€), inclusive of all applicable taxes (VAT included), excluding shipping costs.

KALLYSTE reserves the right to modify prices at any time. The price invoiced is the price in effect when the order is formally placed. For each purchased product, the Client will receive written confirmation of the total price, applicable delivery fees, and the corresponding invoice upon handover of the equipment. Products purchased during demonstrations are sold as new and are not subject to promotional discounts.

1.4 Payment Terms

Accepted payment methods include Visa, MasterCard, American Express debit/credit cards, wire transfers, and bank checks.

Payment terms are detailed on the purchase order and agreed upon by the Client upon signing. For in-person purchases concluded during demonstrations, full payment is required immediately. If, by specific prior agreement, a portion of the payment is deferred, KALLYSTE must receive a corresponding check cashable on the date agreed upon the signed invoice.

Title and ownership of purchased goods transfer to the Client only upon full receipt of the total invoice balance, including delivery charges. In cases of force majeure or any event halting full payment, the manufactured products remain the property of KALLYSTE up to the unpaid balance until full clearance.

Delivery is dispatched only after receipt of the final balance.

II. DELIVERY RATES AND CONDITIONS

Delivery fees and estimated timeframes are stated on the purchase order agreed upon by the Client. For multi-item orders, shipments may arrive in multiple parcels on separate dates.

Delivery timeframes may be extended under exceptional circumstances involving force majeure or conditions beyond KALLYSTE’s control. In such events, the Client will be notified promptly with alternate delivery dates.

Shipping charges are payable by the Client unless explicitly waived in writing on the purchase order as a commercial gesture by KALLYSTE. If complimentary shipping was granted on a multi-item order, any cancellation or deferral of part of that order will result in the shipping charges for the remaining balance being billed to the Client.

Instruments are delivered to the address designated by the Client on the purchase order. The Client warrants that all provided delivery details are accurate, complete, and up to date. KALLYSTE accepts no liability for delivery delays or failures caused by inaccurate, incomplete, illegible, or fraudulent details.

Without prejudice to statutory legal guarantees, the Client must inspect the shipment upon arrival, note any formal reservations with the carrier on the delivery receipt, and report any damaged parcel or unit to KALLYSTE within forty-eight (48) hours at contact@kallyste.com. Failure to do so may result in additional charges for replacement. In the event of a delivery incident, an inquiry will be initiated with the carrier, and a formal determination will be issued by KALLYSTE within a maximum of 30 business days.

KALLYSTE disclaims all liability if the Client selects a shipping method or carrier other than those recommended.

III. FORCE MAJEURE

KALLYSTE shall not be held liable for failure or delay in performing its contractual obligations caused by an event of force majeure as defined under Article 1218 of the French Civil Code.

If manufacturing becomes impossible due to such circumstances, the order will be cancelled and the Client will be refunded the full deposit paid.

KALLYSTE undertakes to notify the Client of any force majeure event that requires aesthetic modifications to an ordered instrument, or of any additional production delay required to preserve the product’s original visual specifications. The Client retains the choice to maintain the order or formally cancel it. Under these specific conditions, if the Client formally withdraws the order, KALLYSTE will refund the deposit in full.

IV. KALLYSTE WARRANTY

4.1 Warranty Coverage

Without prejudice to statutory consumer rights, KALLYSTE warranties its products—excluding consumables—for a duration of ten (10) years against any manufacturing defect under normal operating conditions consistent with the user manual.

This warranty takes effect on the date of receipt by the Client. Being tied directly to the instrument itself, it remains fully transferable alongside the product.

As an exception, vacuum tubes (valves) carry a six (6) month warranty.

The KALLYSTE warranty does not apply if:

  • The chassis has been opened by the Client or by an unauthorized third party;

  • Modifications, repairs, or servicing were carried out without prior written authorization from KALLYSTE;

  • Replacement vacuum tubes were not sourced from or approved by KALLYSTE;

  • Damage resulted from improper handling or connection contrary to the user manual;

  • Damage was caused by an auxiliary device or equipment connected to the instrument;

  • Damage was sustained during transport;

  • The unit shows evidence of physical impact, abrasion, liquid exposure, or accident;

  • The unit was exposed to excessive ambient heat, humidity, or harsh environments;

  • Foreign objects or substances were introduced inside the chassis;

  • Natural passive cooling (clearance, feet, chassis vents) was obstructed;

  • The unit was operated on an ungrounded (unearthed) mains power circuit;

  • The unit was connected using non-compliant power cables;

  • The unit was operated with third-party power treatment equipment that generated non-compliant voltage or introduced components detrimental to normal operation (including filtering redundant with the internal filtering of KALLYSTE instruments);

  • The issue stems from misuse, client negligence, or normal cosmetic and mechanical wear.

4.2 Warranty Claim Procedures

To initiate a claim under the KALLYSTE warranty, the Client must contact KALLYSTE at contact@kallyste.com.

If an on-site intervention is deemed impractical by KALLYSTE, the Client must ship the complete instrument, along with all original accessories, in its original factory packaging unless advised otherwise in writing. If the original packaging is no longer available, the Client must request a dedicated return packaging kit from KALLYSTE.

Authorized return shipping expenses will be covered by KALLYSTE.

If the serial number plate is missing, altered, or defaced, KALLYSTE reserves the right to refuse warranty repair or replacement.

4.3 Statutory Legal Warranties

In accordance with Articles L.217-1 et seq. of the French Consumer Code and Articles 1641 et seq. of the French Civil Code, KALLYSTE remains bound by the statutory guarantee of conformity and the statutory warranty against hidden defects (vices cachés).

Where statutory warranty conditions are met, KALLYSTE will repair or replace the non-conforming product. Return procedures follow the guidelines set out in Section 4.2.

V. PERSONAL DATA PROTECTION

KALLYSTE acts as the data controller for personal data collected during client engagements. Only data essential for order processing, logistics, and account administration is collected and retained. This data may be shared with vetted logistics partners strictly for delivery execution. It will not be used for unsolicited commercial marketing without prior consent.

In accordance with applicable European data privacy legislation (GDPR), the Client has the right to access, rectify, delete, restrict processing, and request portability of their personal data. To exercise these rights, the Client may submit a written request accompanied by proof of identity to:

KALLYSTE, 184 avenue Alphonse Lavallée, BP 273, 83078 Toulon Cedex 9, France

Email: contact@kallyste.com

Client and prospective customer records are retained strictly for the duration necessary to manage the commercial relationship.

VI. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by French law. French courts hold exclusive jurisdiction. In the event of a dispute, the Client is encouraged to contact KALLYSTE directly in the first instance to pursue an amicable resolution.

If a dispute remains unresolved, the Client may refer the matter to a certified consumer ombudsman (médiateur de la consommation) free of charge, in accordance with Articles L.612-1 to L.612-5 of the French Consumer Code. Relevant ombudsman contact details will be provided upon request.

The Client may also access the European Commission’s Online Dispute Resolution (ODR) platform at:

VII. ENVIRONMENTAL RESPONSIBILITY & EXTENDED PRODUCER RESPONSIBILITY (EPR)

In compliance with the Extended Producer Responsibility framework (Directive 2008/98/EC on waste, Article L.541-10 of the French Environmental Code, Directive 2012/19/EU on Waste Electrical and Electronic Equipment [WEEE], Articles L.541-10-2 and R.543-172 to R.543-206-4, as well as Articles L.541-10-1 and R.543-228 to R.543-239 concerning specific diffuse waste), KALLYSTE actively contributes to the collection and recycling of its products at end-of-life.

Pursuant to Article L.541-10-12 of the French AGEC Law (Anti-Gaspillage pour une Économie Circulaire), KALLYSTE adheres to eco-design engineering throughout its manufacturing process.

KALLYSTE commits to taking back its end-of-life equipment for dismantling and recycling on a one-for-one basis upon the purchase of an equivalent new KALLYSTE instrument.
